Amendment to the "Directions for the Implementation of Continuing Education for Directors and Supervisors of TWSE-listed and TPEx-listed Companies"

In line with the "Corporate Governance 3.0-Sustainable Development Roadmap" released by the FSC, plans are made to amend the "Directions for the Implementation of Continuing Education for Directors and Supervisors of TWSE- and TPEx-listed Companies" (the "Directions") and adjust the curriculum for the Board Training Program to accommodate more diverse courses. The plans propose that the board directors of listed companies should complete a minimum of three Continuing Professional Education (“CPE”) hours per year during the term of appointment and should be changed to a mandatory requirement, starting from 2023. Also, regarding the "Regulations Governing the Review of Professional Development Institutions for Principal Accounting Officers of Issuers, Securities Firms, and Securities Exchanges" and the " Regulations Governing the Review of Training Institutions for Internal Auditors by Public Companies” , the "Principles for Reviewing Continuing Education System Institutions" will be added. In the future, CPE courses will be approved by educational institutions instead of being approved course by course.

 

The "Principles for Reviewing Continuing Education System Institutions" will come into effect on January 1, 2022. Institutions that submit an application before the end of April 2022 shall provide an annual training plan for verification. After being recognized by the TWSE and TPEx as a certified CPE institution, the courses offered in 2022 can be counted as CPE hours for that year. Training institutions are strongly advised to prepare in advance. In addition, the Resource Section for Board Training on the Corporate Governance Center's website will be revamped to present a systematic classification of courses for directors and supervisors to effectively search for the required training courses. Enrollment of CPE courses in both English and Chinese will also be announced on the website to disclose the effectiveness of the directors' and supervisors' training promotion in Taiwan.
