2022 Corporate Governance Evaluation educational sessions available on TWSE WebPro website from March 2 to March 16

The Taiwan Stock Exchange conducted the online educational sessions of the 2022 Corporate Governance Evaluation from March 2 to March 16, 2022. The sessions include introduction of Corporate Governance Evaluation, the amendments of corporate governance regulations as well as best practices of the annual report disclosure, introduction to ESG information disclosure, and the introduction to the TDCC’s live streaming platform for shareholder meetings, with the goal of supporting listed companies to implement corporate governance and enhance sustainable development of enterprises.

 

The revisions to the 2022 Corporate Governance Evaluation were made with reference to "Corporate Governance 3.0 - Sustainable Development Roadmap," the domestic and foreign development trend, latest amendments to the statutes and policies as well as the feedback collected to continuingly enhance the evaluation standards. Five indicators were added, six indicators were deleted, 17 indicators revised, and six indicators types have been adjusted to promote corporate governance excellence among all companies. The educational sessions explained the main revisions of the evaluation indicators, and scoring guidelines through examples. The sessions also provided specific topics regarding the recent modifications to the regulations of corporate governance, “Regulations Governing Information to be Published in Annual Reports of Public Companies” and its disclosure guidelines, as well as the ESG disclosure measures. Our purpose is to assist listed companies to understand the contents and prepare in advance. In addition, as public companies are allowed by the “Company Act” to hold shareholders' meetings via video conferencing, a representative of Taiwan Depository and Clearing Corporation was invited to introduce the their live streaming platform for shareholder meetings.

 

Since the implementation of the corporate governance evaluation from 2014, the evaluation indicators, scoring methods and evaluation results have been increasingly valued by listed companies. More and more enterprises are following the indicators and have adopted various effective corporate governance measures, leading the overall market to emphasize the culture of corporate governance and sustainable development. Holding educational sessions online through the TWSE WebPro Website offers more flexibility for listed companies. We will send out questionnaires to understand the participations and collect feedbacks.
